TERMS & CONDITIONS

1. Scope of Services
The EdArchitect provides strategic advisory and consulting services in connection with the creation, development, and transformation of educational institutions. All services are bespoke and defined within the context of individual client engagements. Nothing on this website constitutes an offer to perform services without a formal agreement.

2. Engagement and Formation of Agreement
Any engagement with The EdArchitect shall be subject to a written agreement, proposal, or statement of work, duly accepted by the client. Such agreement shall define the scope, deliverables, timeline, and fees. No contractual relationship shall exist absent such acceptance.

3. Fees and Payment Terms
Fees shall be agreed in writing prior to the commencement of services. Unless otherwise specified, invoices are payable within the stated terms. The EdArchitect reserves the right to suspend or terminate services in the event of non-payment or material delay.

4. Confidentiality
The EdArchitect acknowledges that, in the course of its engagements, it may have access to confidential or proprietary information. Such information shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent, except where required by law or regulatory obligation.

5. Intellectual Property
All methodologies, frameworks, tools, and underlying intellectual property developed or utilized by The EdArchitect shall remain its exclusive property. Clients are granted a limited, non-transferable right to use deliverables for internal purposes only, unless otherwise expressly agreed in writing.

6. Nature of Services and No Guarantee of Outcome
The EdArchitect provides advisory services of a strategic nature. While such services are delivered with due care and professional diligence, no representation or warranty is made as to the achievement of specific outcomes. All decisions and their consequences remain the sole responsibility of the client.

7. Limitation of Liability
To the fullest extent permitted by applicable law, The EdArchitect shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with its services. Any liability, if established, shall be limited to the fees paid by the client for the relevant engagement.

8. Termination
Either party may terminate an engagement in accordance with the provisions set forth in the applicable agreement. In all cases, fees for services performed up to the date of termination shall remain due and payable.

9. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of France. Any disputes arising in connection herewith shall fall within the exclusive jurisdiction of the competent courts of France.
